LIMITS THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE.

- Access or use the Site and Services for any illegal or unauthorized purpose, including to harass, abuse, insult or otherwise infringe or violate the rights of any other party; or otherwise take any action in violation of these Terms;
- Express or imply that any statements you make are endorsed and supported by Editfeast;
- Use automated or manual means to take our content without our express prior written consent; attempt to create any derivative works or materials of any kind using the Content, whether or not you intend to give away the derivative materials free of charge, or otherwise build a business utilizing any aspect of our Site and Services;
- Copy or print any of the Content, whether licensed by us or otherwise, unless and to the extent it is for your own personal, non-commercial use and you must retain all trademark, copyright and other proprietary notices contained in and on any such Content;
- Reproduce, download, modify, translate, add to, distribute, transmit, publish, perform, display, disclose, archive, upload, broadcast or sell, sublicense, index or exploit any part of our Site and Services or the Content thereon in any medium, either directly or through the use of any device, software, internet site, web-based service or other means, without our prior express written permission;

etc., or take any action that imposes, or may impose (as determined in our sole discretion), an unreasonable or disproportionately large load on our infrastructure; - Take any action that imposes or may impose (as determined by us in our sole discretion) an unreasonable or disproportionately large load on our or our third-party providers’ infrastructure.
7. ELIGIBILITY We only permit individuals who are at least 18 years old, or the age of
majority in your province, territory or country, and can form legally binding contracts with us to
use the Site and Services. If you are under the applicable age, you can use the Site under the
supervision of your parent, legal guardian or other qualified adults who has agreed to the Terms.
If you are a parent or legal guardian and you allow your Minor to use the Services, you agree to
be bound by the Minor’s use of the Services and by these Terms. If you are under the age of 18
or the applicable age of majority and do not have the requisite parent or guardian consent, please
do not attempt to access or use the Services. However, you must be 13 years or older to use the Site in compliance with the Children's Online

8. USER SUBMISSIONS
We proudly work, collaborate and interview contributors, writers,
authors, creators, chefs, business owners, managers, bloggers, travelers and individuals that we
think can provide us with materials to create our content (collectively "User Submissions"). We
send requests and invites to work with us, you have the right to deny our request. We also
encourage you to submit to our Site and Platforms content and stories related to our topics ("User
Submissions"). We create content, stories, guides and products for our Site and Platforms in
partnerships and collaborations, requesting and contacting to work, collaborate and interview
with publishers, contributors, authors, writers, individuals, owners, brands, creators, bloggers or
affiliates to create our content for our Site and Platforms (collectively "User Submissions").
You irrevocably assign to Editfeast all rights in and to all text, photographs, illustrations, audio,
video and any other content and information (including any ideas or expressions of ideas
embodied therein, your Site screen/user name, and personal and professional information) that
you provide, upload, store, process, post, transmit, distribute, publish or otherwise submit to or
through our Site and Platforms (collectively “User Submissions”).
You understand that whether or not such User Submissions are published, Editfeast does not
guarantee any confidentiality with respect to any User Submissions. You are solely responsible
for your own User Submissions and the consequences of posting, submitting or publishing them
on our Site and Platforms, or providing us with the information. You acknowledge and agree that
you have no expectation of privacy concerning the transmission of User Submissions and
Content, including, without limitation, email communications, interviews, chat, text, images,
audio material, video material and audio-visual material, that you submit to the Site, for
whatever purpose. We have the right, but not the obligation, in our sole and absolute discretion,
to pre-screen, review, refuse, and/or remove from the Editfeast Site and Platforms any User
Submissions and content.
User Submissions are public after publishing on our site, newsletters, magazines, email, services
and social media accounts, not private communications. When you voluntarily disclose personal
information through your User Submissions, Others may have access to this content and
information, and it can be collected and used by others and may result in unsolicited messages
from other people. Please think carefully before deciding what information you share with us,

Editfeast does not control who will have access to the information that you choose to make

YOU CONFIRM, REPRESENT, AND/OR WARRANT THAT:
- Editfeast reserves the right to edit or remove any material submitted to our Site and Platforms, or stored on the servers, or hosted or published upon our Site and Platforms;
- By submitting, posting, or displaying User Submissions on Editfeast Site and Platforms, you grant us a nonexclusive, worldwide, royalty free, fully paid up, transferable, sublicensable (through multiple tiers), license to archive, edit, adapt, combine with other content, use, copy, reproduce, process, adapt, modify, create derivative works from, publish, transmit, store, display and distribute, and otherwise use User Submissions in connection with the operation or use of the Editfeast Site and Platforms or the promotion, advertising, newsletters or marketing thereof, in any and all media or distribution methods (now known or later developed);
- You own or have the necessary licenses, rights, consents, and permissions to use and authorize Editfeast to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Site and these Terms;
- All comments, suggestions, graphics, ideas (including content, products and advertising ideas), information, materials or other portion of the User Submissions you submit to us will become and remain the exclusive property of Editfeast, including any future rights associated with such User Submissions, even if these Terms and Conditions are later modified or terminated;
- You also release all moral rights and similar rights in and to your User Submissions and you further perpetually and irrevocably grant Editfeast the unconditional right to use and exploit your name, persona and likeness included in any User Submissions and in connection with any User Submissions;
- You have the written consent, release, and/or permission of each and every identifiable individual person, property, brand or products in the User Submissions to use the name, details, stories or likeness of each and every such identifiable individual person, property, brand or products to enable inclusion and use of the User Submissions in the manner contemplated by the Site and these Terms. You accept full responsibility for avoiding infringement of the intellectual property or personal rights of others or violation of laws and regulations in connection with User Submissions;
- You agree that this license includes the right for us to make User Submissions available to other companies, organizations, business partners, or individuals who collaborate with Editfeast for the syndication, broadcast, distribution or publication of User Submissions through other media or distribution methods. This license also includes the right for other users of our Sites and Platforms to use and modify User Submissions, subject to these Terms;
- We may remove or refuse to publish User Submissions, in whole or part, at any time;
- We have the right to disclose User Submissions and related information if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary;
- You will not be entitled to any remuneration for any use of your User Submissions (Except selected contributors and writers that submitted their work through our contributor’s submission process and followed our contributors’ guideline) by us or our parent company, affiliates, licensees, assigns or any other person or entity. You further release and waive all claims against Editfeast, its parent company, affiliates and/or agencies with respect to any intellectual property or other proprietary rights, rights of privacy and publicity, rights of attribution, or any other liability under the governing law of the United States;
- You acknowledge and agree that when you post content on the Site or Services, or view content provided by others, you are doing so at your own discretion and risk, including any reliance on the accuracy, completeness, of that content. You acknowledge that we have no obligation to pre-screen, monitor, review, or edit any User Submissions.
- Submit any illegal or unlawful User Submissions and content to us, and must not infringe any third party’s legal rights and privacy, and must not be capable of giving rise to legal action whether against you or Editfeast or a third party (in each case under any applicable law);
- Submit any User Submissions or content to our Site and Platforms that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint;
- Submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post and submit the material and to grant Editfeast all of the license rights granted herein;
- Submit or publish falsehoods or misrepresentations that could damage Editfeast or any third party;
- Include other peoples’ personal information, or any other information that may be used to track, contact, or impersonate that individual;
- Misrepresent your identity or affiliation with any person or organization;
- Involve commercial activities such as contests, sweepstakes and/or other sales promotions, barter, advertising or offers of sale or purchase of goods and services;
- Submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate;
- Post advertisements or solicitations of business; nor impersonate another person.
EDITORIAL AND CONTENT: Our Content and User Submissions are only published to the
Site and Platforms after it has been reviewed and edited by our editorial team. All visuals, tools,
products, and links are subject to the same approval process. To publish our Content and User

that we collected from the Internet, other sites, individual or blogs are selected for our content for
the Site and Platforms. Images may get used in our newsletter emails, marketing and social
media accounts. We always do our best to credit all the photos and to use photos and visuals
from reliable sources and credited third party websites. If you are the owner of any photo(s) in
the Site, Platforms and newsletters, and like modifications or removal of the photo(s), please
contact us.
FOOD AND NUTRITION INFORMATION: You acknowledge and agree that all food and

by Editfeast or User Submissions or third-parties, is provided for informational purposes only
and is not intended to be and should not be used in place of the advice of your physician or other

9. LICENSE AND PERMISSION TO USE USER SUBMISSIONS

address.

other intellectual property rights under United States and foreign laws and international

damages, labilities, losses, costs and expenses in any way arising out of, or resulting from
participating and attending in our events and gatherings.

laws or regulations; (f) your violation of any third-party right, including without limitation any

accessing the Services via your email account(s), social media account(s), ISP address or your

kind, including, damages for loss of profits, revenues, business, goodwill, use, data or other
intangible losses arising out of, in connection with or resulting from these Terms or Editfeast’s
Site or Services, whether based in contract, tort or otherwise.
Nevertheless anything to the contrary contained in these Terms, our liability to you in respect of
any loss or damage suffered by you and arising out of or in connection with these Terms,

bargain between Editfeast and you. some jurisdictions do not allow the exclusion or limitation of
liability for consequential or incidental damages, so the above limitation may not apply to you.
Under no circumstances will Editfeast and/or any of its affiliates, licensors, licensees, successors
or assigns be responsible for any damage, loss or injury resulting from hacking, tampering or
other unauthorized access or use of the website, your data or your account or the information
contained therein. We reserve the right at all times to disclose any information that we deem
necessary to comply with any applicable law, rule, regulation, legal process or governmental
request. you waive and hold harmless Editfeast and its affiliates, licensors, licensees, successors
and assigns from any claims resulting from any action relating to your account or taken as a

or threatened to violate our intellectual property rights, we may seek injunctive or other
appropriate relief in any state or Federal court in the state of California, and you consent to
exclusive jurisdiction and venue in such courts. Any claim or cause of action arising out of or
related to use of the Services, or these Terms must be filed within one year after such claim or
cause of action arose or be forever barred. Any claim by you that may arise in connection with
these Terms will be compensable by monetary damages and you will in no event be entitled to
injunctive or other equitable relief. You also hereby expressly waive any right to resort to any
form of class action.
21. BINDING ARBITRATION In the event of any dispute between you and us regarding these Terms, the Privacy Policy, the

to first send the other party a notice of dispute, which is a written statement setting forth the
name, address and contact information of the party giving the notice, the facts giving rise to the
dispute and the relief requested. We will send any notice of dispute to you at the contact
information we have for you. To begin an arbitration proceeding, you must send a letter
requesting arbitration and describing your claim to info@editfeast.com.
You and Editfeast will attempt to resolve any dispute through informal negotiation within 30
days from the date that the notice of dispute is sent. If we are unable to resolve a dispute by
negotiation, you agree that disputes must be resolved through binding arbitration rather than by a
court provided that you may assert claims in small claims court if your claims qualify. Any
election to arbitrate, at any time, shall be final and binding on the other party. All disputes will
be resolved before a neutral arbitrator, whose decision will be final except for a limited right of
appeal under the FAA. Any court in Los Angeles, California may enforce the arbitrator’s award.
The arbitration shall be administered by the Judicial Arbitration and Mediation Services
(“JAMS”) pursuant to JAMS' Streamlined Arbitration Rules and Procedures, if applicable, or
otherwise pursuant to its Comprehensive Arbitration Rules and Procedures and in accordance
with the Expedited Procedures in those Rules (the “JAMS Rules”). Such disputes will be
resolved by the arbitrator as determined under the JAMS Rules. The arbitration may be
conducted in person, through the submission of documents, by phone, or online. If conducted in
person, the arbitration shall take place in Los Angeles, California.
For certain claims, like violations of these Terms or breaches of intellectual property covenants,
we reserve the right to seek injunctive relief in a court of competent jurisdiction. All arbitrations
shall be initiated in Los Angeles, California.
22. CLASS ACTION WAIVER Waiver of jury trial. You and Editfeast hereby waive any constitutional and statutory rights to
sue in court and have a trial in front of a judge or a jury. You and Editfeast are instead electing
that all claims and disputes will be resolved by arbitration under this arbitration agreement. An
arbitrator can award on an individual basis the same damages and relief as a court and must
follow these Terms as a court would. However, there is no judge or jury in arbitration, and court
review of an arbitration award is subject to very limited review.
You agree that any arbitration or proceeding shall be limited to the dispute between us and you
individually to the full extent permitted by law, (i) no arbitration or proceeding shall be joined
with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a
class action-basis or to utilize class action procedures; and (iii) there is no right or authority for
any dispute to be brought in a purported representative capacity on behalf of the general public
or any other persons. You agree that you may bring claims against us only in your individual
capacity and not as a plaintiff or class member in any purported class or representative
proceeding.

SEVERABILITY If it turns out that any part of these Terms is invalid, void, or for any reason unenforceable, such provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Terms shall continue in effect.

Use of the Site and Platforms does not create any express or implied right to use such trade or service marks, logos, name and such trade or service marks may not be used in connection with any product or service that is not properly authorized by Editfeast, in any manner that is likely to cause confusion or in any manner that disparages or discredits Editfeast. The use of any name, trademark, tradename, service mark, logo, symbol or other proprietary designation or marking of or belonging to any third-party making Content, products or services available on the Site and Platforms should not be construed as an endorsement or sponsorship of the Site and Platforms by any such third-party, or as the participation by any such third-party in the offering of goods or information through the Site and Platforms.
